Terms & Conditions

1. Agreement Scope
This document constitutes the entire agreement between the parties. Any amendments, waivers, or cancellations must be in writing and signed by both parties. These terms apply to all current and future transactions and debts between the parties.

2. Acceptance of Terms
By placing an order with StorPro, the customer agrees to these terms, which become final and binding upon order acceptance. The signatory confirms their authority to enter into this agreement on behalf of the customer.

3. Liability & Surety
The signatory to the credit application or liability acceptance form binds themselves as surety and co-principal debtor in their personal capacity for any amounts due to StorPro. The signatory waives the benefits of excussion and division.

4. Product Representations & Indemnity
StorPro makes no representations about goods and services other than those explicitly stated in writing. Customers are responsible for determining the suitability of products for their intended use and indemnify StorPro against related claims.

5. Quotes & Pricing

  • Quotes remain valid for 30 days or until a new price list is issued, whichever comes first.

  • Prices exclude VAT and are subject to change based on supplier cost variations before dispatch.

6. Order Inspection & Acceptance
Customers must inspect all goods upon receipt and ensure they meet the ordered specifications. Orders cannot be canceled after confirmation.

7. Delivery & Risk

  • StorPro reserves the right to deliver goods in separate shipments.

  • Risk transfers to the customer once goods leave StorPro’s premises.

  • Delivery times are estimates and not binding.

  • Customers indemnify StorPro against claims related to delivery delays.

8. Third-Party Transport
If StorPro engages a third-party transporter, it does so on behalf of the customer. StorPro is not liable for damages during transit.

9. Warranties & Returns

  • New goods are covered by the manufacturer’s warranty only.

  • Services carry no warranty.

  • StorPro’s liability is limited to the repair, replacement, or credit for defective goods at its discretion.

  • Customers must return defective goods within 5 days, in original packaging and at their own cost.

10. Payment Terms

  • 30-day account holders must settle invoices within 30 days.

  • Cash-on-order (COO) customers must pay in full before dispatch.

  • Discounts (if applicable) are forfeited if full payment is not made on time.

11. Customer Obligations
Customers must notify StorPro of any changes to their details, including ownership, address, and contact information, within 2 days.

12. Order Cancellation & Force Majeure
StorPro may cancel orders due to force majeure events or if the customer breaches these terms, enters liquidation, or faces legal action.

13. Claims & Dispute Resolution
Customers must notify StorPro of defective goods or contract breaches within 3 days and provide 7 days for StorPro to rectify issues.

14. Limitation of Liability
StorPro is not liable for indirect or consequential damages or misuse of goods.

15. Legal & Payment Disputes

  • StorPro’s records serve as proof of the customer’s indebtedness.

  • Interest of 15.5% per annum applies to overdue amounts.

  • StorPro may repossess unpaid goods and recover related expenses.

16. Credit Facilities & Security
StorPro may terminate credit facilities at its discretion. Customers consent to legal action in the Magistrate’s Court, regardless of the claim amount.

17. Ownership & Risk
StorPro retains ownership of goods until full payment is received. Customers may not resell goods before full payment.

18. Governing Law
These terms are governed by the laws of the Republic of South Africa.

19. Export & Special Orders
All export goods must be fully paid before collection. Special orders are non-refundable and cannot be returned.

20. Confidentiality & Intellectual Property
Technical drawings and specifications remain the property of StorPro and may not be disclosed to third parties without written consent.
